根据《中华人民共和国反不正当竞争法》第九条的规定,“经营者不得实施下列侵犯商业秘密的行为:……(四)违反约定或者违反权利人有关保守商业秘密的要求,披露、使用或者允许他人使用其所掌握的商业秘密”。因此,竞业禁止协议中的期限应当合理,不应超过必要的限度,通常认为三年是一个合理的期限。如果期限过长,可能会被法院认定为不合理地限制了劳动者的就业自由权。
竞业禁止的地域范围也应合理,不能过于宽泛。一般来说,应该限于与原雇主有实际业务往来的地区,或者是劳动者实际上可能对原雇主造成损害的区域。
竞业禁止的行业限制也应该具体而明确。不应该一刀切的禁止所有可能的竞争行为,而应该针对特定的技术和产品领域进行限制。例如,如果一个人曾在一家软件公司担任程序员,那么他的竞业禁止协议可能只适用于同一类型的编程工作,而不是所有的IT行业职位。
为了平衡双方的利益,法律规定用人单位必须给予离职员工一定的经济补偿,作为其遵守竞业禁止义务的对价。如果用人单位没有履行这一义务,则竞业禁止协议无效。
竞业禁止协议只有在保护商业秘密的实际需要下才具有合理性。也就是说,如果员工的离职确实会给公司的商业秘密带来泄露的风险,那么竞业禁止协议可能是必要的。

App. 1998), the court considered whether a noncompete agreement signed by a doctor was enforceable against him after he left his practice. The court found that while the agreement was restrictive, it did not impose an absolute bar on competition. It allowed the doctor to continue practicing medicine within certain parameters, which the court determined was sufficient protection for both parties' interests. Therefore, the court ruled that the noncompete agreement was reasonable under Texas law.
